Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Ads Anomaly Guard (“Service”), operated by Ads Anomaly Guard (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Ads Anomaly Guard is a software-as-a-service (SaaS) platform that monitors Google Ads and Meta Ads campaigns for performance anomalies. The Service provides:

• Automated anomaly detection (CPA spikes, conversion drops, broken tracking)
• Configurable auto-pause and budget-reduction rules
• Real-time alerts via email and Slack
• Weekly performance and savings reports
• Dashboard for campaign oversight and action logging

3. Account Registration

• You must provide accurate and complete information during registration
• You are responsible for maintaining the confidentiality and security of your account credentials
• You must be at least 18 years old to use the Service
• One person or organization may not maintain more than one free trial
• You are responsible for all activities that occur under your account

4. Free Trial

We offer a 7-day free trial with full access to all features. The trial may be extended to 14 days at our discretion. No credit card is required during the trial period. After the trial ends, you must subscribe to a paid plan to continue using the Service. We reserve the right to modify or discontinue the free trial at any time.

5. Subscription and Billing

• Subscriptions are billed monthly via Stripe
• By subscribing, you authorize us to charge your payment method on a recurring monthly basis
• You may cancel your subscription at any time; it will remain active until the end of the current billing period
• No refunds are issued for partial months or unused portions of the subscription
• We reserve the right to change pricing with 30 days' written notice via email
• If payment fails, we may suspend access until the balance is resolved

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable law
• Attempt to reverse-engineer, decompile, or disassemble the anomaly detection algorithms or any part of the Service
• Share your account credentials with unauthorized parties
• Use the Service to monitor ad accounts you do not own or have explicit authorization to manage
• Abuse the API or attempt to circumvent rate limits, security measures, or access controls
• Transmit malicious code, viruses, or any code designed to disrupt the Service
• Use the Service to compete with or build a similar product
• Scrape, crawl, or harvest data from the Service for unauthorized purposes

7. Intellectual Property

All content, features, functionality, trademarks, trade secrets, and intellectual property associated with the Service — including but not limited to the anomaly detection algorithms, user interface, reports, and documentation — are owned by Ads Anomaly Guard and are protected by international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent. The Service is licensed, not sold.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By default, we access your ad platform data in read-only mode. When you enable auto-pause rules, we may pause campaigns or reduce budgets on your behalf. You retain ownership of your ad platform data at all times.

9. Limitation of Liability

Ads Anomaly Guard is a monitoring and alerting tool. We do not guarantee:

• Detection of all anomalies or errors in your ad campaigns
• Prevention of all ad spend waste
• Uninterrupted or error-free operation of the Service

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, our total aggregate liability for all claims arising from or related to the Service shall not exceed the total amount you paid to us in the 12 months preceding any claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Ads Anomaly Guard and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any content or data you submit through the Service

11. Termination

We may terminate or suspend your account immediately, without prior notice, if you violate these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to the Service, other users, or third parties. You may delete your account at any time by contacting support. Upon termination, your right to use the Service ceases immediately.

12. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, and the language of arbitration shall be English.

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction.

13. Force Majeure

We shall not be liable for any failure to perform our obligations where such failure results from events beyond our reasonable control, including but not limited to natural disasters, acts of war or terrorism, epidemics, government actions, internet outages, or failures of third-party service providers.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ads Anomaly Guard regarding the use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email at least 30 days before they take effect. Continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms.
